Case Study

Corporate Spinout

Business Strategy

A $30 million project based software development company wanted to spin out a business unit which developed a unique payment system software. The company initially developed the software solution for a banking client. The company was fortunate to retain the intellectual property through the development project and believed a separate web services company utilizing the IP would generate the best return on this asset. The company engaged MW to investigate the market, develop the business plan and offering memorandum to solicit strategic investors or acquirers of the newly formed business. We the developed the key corporate organization and successfully sold the newly formed business, while retaining a generous royalty stream and non-exclusive access to the IP and derivative products for internal use.
